Emily R. Paulus is an Associate in the firm’s Easton office. Emily focuses her practice in the areas of corporate law, commercial lending, cannabis law, and real estate. She also has experience in other areas of civil litigation, including labor and employment law, and higher education law.

Emily’s corporate practice includes everything from the formation of companies to their dissolution. She has experience with drafting operating agreements, joint venture agreements, and a variety of other corporate governance documents. Emily also advises clients on private equity raises.

As part of her transactional practice, Emily has experience with negotiating and drafting a variety of contracts, including purchase and sale agreements, commercial leases, and asset purchase agreements. Emily also has experience in all aspects of both residential and commercial real estate transactions, including due diligence investigations and title review.

Emily’s commercial lending practice involves advising clients, including businesses and banks, on every aspect of a loan transaction, from commitment letter to closing. She is experienced in reviewing and drafting all types of loan documents.

Emily is also a member of the firm’s cannabis law practice.  She has experience advising clients regarding the licensing process and other regulatory issues at both the state and local levels. She has assisted clients in the purchase and change of control of cannabis licenses in multiple states.

Before joining the firm, Emily worked for a large law firm based out of Philadelphia, PA. She began her legal career as a judicial law clerk for the Honorable Arthur L. Zulick of the Monroe County Court of Common Pleas.
