Emily R. Paulus

Emily R. Paulus is an Associate in the firm’s Easton office, focusing her practice on corporate law, banking and commercial lending, liquor license law, cannabis law, and real estate. She also has experience in civil litigation, including labor and employment law. Emily’s broad expertise allows her to advise clients comprehensively from the inception of their businesses.

Emily has counseled companies in various corporate transactions, including stock and asset acquisitions, mergers, and joint ventures. She assists in negotiating service contracts, employment, and independent contractor agreements tailored to diverse business needs. Emily routinely advises clients on private equity raises and compliance, working closely with them to understand their specific industries and goals, ensuring optimal outcomes.

In real estate transactions, Emily handles the entire process from initial offer to post-closing work, including the purchase, sale, development, financing, and leasing of commercial and industrial properties. Her meticulous attention to detail in contract negotiation and diligence review ensures clients remain well-informed and comfortable throughout the transaction. Additionally, she advises on the formation and governance of condominiums, cooperatives, and planned communities. Notably, Emily recently represented homeowners in acquiring their manufactured home park for over $10 million.

Emily’s commercial lending practice involves assisting banks and businesses in all loan transaction aspects, from commitment letters to closing. She works with borrowers and lenders on mortgage loans, as well as construction and permanent financing, leveraging her dual-sided experience to secure favorable terms in line with market conditions.

As a member of the firm’s cannabis law practice, Emily aids clients with licensing and regulatory issues at state and local levels across numerous states. She is well-versed in the statutes and regulations governing medical and recreational cannabis sales, manufacture, and cultivation. Emily also serves as general counsel to several cannabis companies, assisting with daily decision-making.

In her liquor license practice, Emily guides clients through interactions with the Pennsylvania Liquor Control Board and the New Jersey Division of Alcoholic Beverage Control. She assists with various liquor license sales, applications for new licenses and permits, and recently facilitated the first economic development liquor license awarded in Northampton County.

Before joining the firm, Emily worked for a large Philadelphia-based law firm and began her legal career as a judicial law clerk for the Honorable Arthur L. Zulick of the Monroe County Court of Common Pleas.
